1. Quantity: Approximately 500, 000 MT ( + / -10% ) of D2 per month or a quantity as may be agreed upon by Seller and Buyer per month for a period of two (12) months with rollovers and extensions up to 60 months.

6. Shipping: 2% Performance Bond of the monthly shipment value by Seller Bank in favor of the Buyer.
7. Inspection: SGS Certificate of Analysis at the loading port.

9. Method of Measurement:
Independent inspection for quantity and quality will be performed by a mutually agreed independent inspector, with costs to be shared equally.
10. Payment Terms: Irrevocable, Transferable, Revolving, Confirmed, Documentary Letter of Credit (DLC) to be issued by top 50 rated International Bank. This DLC shall be for one months deliveries and automatically revolving to the next monthly deliveries until completion of the Contracted quantity.

11. Procedures:
1. Buyer to sign this offer. (FCO)
2. Seller to sign contract upon notification of the Buyer accepting specifications.
3. Buyer to complete contract, sign and initial every page. Seller will provide POP upon signing hard copy final-draft-contract which will be sending by DHL.
4. Buyer issues Irrevocable, Transferable, Confirmed, Revolving Bank DLC for first months deliveries.
5. Within (5) five days of receipt of Payment, Seller to provide Buyer approximate window for first shipment.
6. Buyer to confirm acceptance of window within 48 hours.
7. Seller may arrange independent inspection either SGS or Caleb Brett confirming quality and quantity.
8. Buyers DLC to be drawn upon for value of product once quality and quantity has been reported and loaded, at the time of the product ownership is transferred to the Buyer by certificate of ownership or bill of sale.
Buyers Banking costs are for Buyers Account. The Sellers banking costs are for the Sellers account.
